<p style="text-align: left;">We discussed new CC&amp;R’s that Bob wrote up and decided we would vote for on the next meeting with everyone in attendance.  We did discuss that any home in foreclosure to have the bank make right on any exterior damages and if not made right a lien could be put on the home until the home is repaired to standards according to CC&amp;R’s and our rules and regulations, we need to think about how to word that in order to be done.</p>
<p style="text-align: left;">Budget for 2012 to be looked at before Dec 15 by Brad and let us know if a HOA increase is to take place.</p>
<p style="text-align: left;">We also discussed getting the Realtor Package that needs to be handed to Realtors involved in selling of our homes.</p>
<p style="text-align: left;">A motion was made by Brad and seconded by Bob and Angel to have any vehicle in driveways towed <span style="text-decoration: underline;">without </span>a warning, motion was passed.</p>

<p>Letters were sent out and no response at this time from offenders, next step is Monday, July 18<sup>th</sup> letter out from our Attorney with instructions on how/who to deal with it. If someone comes to a board member and wants to set up payment we advised the board member to take the payment which would cut out the Attorney fee. Fees are to be paid by residents. Moving forward anyone behind 2 months will receive a letter and a $25.00 late fee will be assessed. Brad moved for a motion on the new late fee, Reed 2<sup>nd</sup> and all were in favor. LaDonna will be informed of our changes.</p>

<p><strong><em>3) </em></strong><strong><em>Treasure/Bookkeeper Interface</em></strong></p>
<p>Shon had bought a laptop for the HOA to be used by the Treasurer, any corrections made we can send to LaDonna for changes. Quick Books is to be looked at by Brad.</p>
<p><strong><em>4) </em></strong><strong><em>Rentals</em></strong></p>
<p>Meet with Legal-Bob to set up appointment to meet with experienced attorney.</p>
<p>CCR’s to get changed and voted on; rentals will be subject for approval of the HOA Board.</p>

<p><strong><em>5) </em></strong><strong><em>Landscape Issues</em></strong></p>
<p>Tree Pruning-Taking place next Wed/Thurs-width of trees to be trimmed.</p>
<p>Yard Being Missed-Due to Pet Waste/Toys etc, Letters being drafted up by Bob to be sent out when unit is in violation of pet waste, toys, patio furniture etc.</p>

<p>HOA took over in 2007- we discussed being proactive on issues and limiting the responsibility of the HOA to a maximum of $500, this will expire on July 30, 2012—at which time the HOA will not be held accountable or responsible for any repairs. This will be put on our website.</p>

<p>Cluster Reps-the Board felt that with Brad handling the changing of lights etc that perhaps reps were not needed at this time, that all members can lookout for issues etc.</p>
<p>We spoke of Alternate Positions on the board; Bob made a motion to have Marian Kelley (Bob’s wife) assist as a board member at large and to help where needed. Brad 2<sup>nd</sup> and all were in favor of Marian joining.</p>
<p>In closing Bob mentioned that he was really happy to live in a beautiful community and hopes our community continues this way. Next meeting is Aug 1<sup>st</sup> /6:30 Bob’s home.</p>

<p>Tanner will add to website that no air condition window units or anything that is attached to the outside exterior building, i.e. awnings, screen doors not approved. The board has only approved one screen door for the complex.</p>
<p>Put the quantity of renter into CC&amp;R’s, require a lease % of ownership in CC&amp;R’s, we talked of establishing % of renters, all agreed to 20% with the exception of the ones grandfathered in that are currently renting, unless the ownership changes. New owner would have to live there or sell it unless they qualified for a hardship. Immediate family member would have to be in the home, homeowner would be responsible to share the info with the board, and we also spoke of defining the exceptions of immediate family members. Renters are bound by rules through the owners. Perhaps no rental application but charge a $500.00  security deposit on renters.</p>
<p>Bob will take the new rules to attorney and have them written up.</p>
<p><strong>2) </strong><strong>Enforcement of Garbage Cans</strong></p>
<p>Reed is to take down # on trash cans by Friday afternoon, and a letter will be sent out to ones who do not have their cans brought in by Thursday night.</p>
<p><strong>3) </strong><strong>Letter to Digis</strong></p>
<p>We are still not making payments, we agreed as a board to send the money to the attorneys to keep in a trust account through December 2011; Bob will speak with LaDonna about sending the money to the attorneys. Attorneys will send letter to Digis stating what we are doing as we have had no response from Digis. Comcast is ready to go in Nov for 2 demos which will be Brad and Shon. A newsletter will go out stating as of Dec 31, 2011 we will have Comcast as our internet carrier.</p>

<p><strong>4) </strong><strong>Misc discussions</strong></p>
<p>Pet Doors,  renters/owners will have to sign a contract that states they will replace to it normal state if not a lien will be put on the home.</p>
<p>Garbage Cans, Weeds, Pet Waste- Send a letter, late fee $50.00 will be applied.</p>
<p><strong>5) </strong><strong>Gate Information</strong></p>
<p>Drawings are being done to take to city of Draper, Construction could start in winter Feb/Mar There would be a door handle code, 4 digit code, no power. Brad is hoping to have drawings by next board meeting and city permit info, gate will be sized for handicap access, and perhaps some coach lights added</p>
<p><strong>6) </strong><strong>Snow Melt</strong></p>
<p>The board agreed to order 80 units on a pallet and we will determine as to how and when to hand out.</p>

<p><strong>Handy Man Update:</strong> Bob and Angel met with Craig Yates before the meeting to discuss basic handy man repairs and an offer was made to him to become our handy man and he accepted, he work will be $25.00 an hour, Craig will be working on small projects i.e. window wells/gates/painting. Bob and Shon to show him what is needed a list will be sent to me and I will forward to Craig, he will contact Bob and Shon once received.</p>
<p><strong>Digis Update:</strong> Shon reported no response from Digis, we will demand for a response with a letter from attorneys once Bob has all of the complaints/concerns regarding the service of Digis and forward to attorneys. Perhaps have 2 homes with Comcast as test homes i.e. Shon and Brad as they are home with business throughout the day. Monies will be left in a trust account, as equipment needs to be removed before final payment to Digis.</p>
<p><strong>Landscaping Update:</strong> Reed reported that the trees looked great after the trimming, next year the Board will look at having the trees topped off as the trees only had the bottom cut off this year. Landscape crew will give recommendation to the board on what needs to be replaced. Reed will look to see what trees/bushes are on sale to see if we as a board could replace 3 or 4 trees and bushes.</p>
<p><strong> Treasurer Update: </strong>Brad reported that LaDonna had still not responded to emails etc. No files had been received, Both Bob and Brad will find out what is happening with LaDonna as to why no response, she needs to at least respond to the Treasurer. We need her response as to who is paying for parking spaces, HOA fees and if arrangements have been made regarding payments before we get attorneys involved on sending out the letters. The board agreed to see if at all possible to have LaDonna removed from the HOA email list, Angel to check with Tanner. Files need to be sent regularly to Brad (Treasure) so that they can be fine tuned.</p>
<p><strong>Building Update:</strong> Kelly had nothing to report, Kelly agreed to taking on the trash can issue in getting notices sent out for not taking trash cans in, there would be a $50.00 fine first violation and a $100.00 fine for second violation and another $50.00 for each time after that trash cans are left on the street.</p>
<p><strong>Hospitality Update:</strong> LaDonna had not responded to Mercedes emails about new move ins. Once we have the new info on move ins, do we take a “Welcome Gift”, “HOA Packet”?  A decision was not made on what to take. Mercedes will draft up a “Welcome Letter” and a letter to the “Realtors” with info about Wyngate Common Rules.</p>
<p><strong>Secretary Update:</strong> Angel reported that she would like to purchase an “A-Frame” type of sign to stand at the Pavilion when someone has reserved it with Name, Date and Time of Event. Angel made a motion to purchase the sign, Brad seconded the motion and all were in favor. It was decided that the Cluster Reps would be removed from the HOA website as we as a Board will try to handle the lights and with Craig as the new Handy Man.</p>
<p><strong>Parking Update:</strong> Brad reported that parking looks pretty good, he is watching 3 cars that continually park in visitors parking 2 or 3 nights, he reported that a Black Truck was continually parking on the sidewalks and in the driveway, he would check to see if any warning had been given to this truck on previous occasions. A blue Jeep Cherokee w/Bronco plate was to be given a warning if the Jeep was parked in the visitors spot again.</p>
<p><strong>Last items:</strong> It was mentioned that Mary Kay Stewart would like to become involved with the HOA. The board would like LaDonna to be tasked with the idea of posting payments to the earliest ones that are past due, update the website that states where payments are to be sent and a Disclaimer added that all payments will be applied to any outstanding unpaid balances, Angel will speak with Tanner regarding that information being added to the website. Angel will also put together a “End of Summer Newsletter” mentioning the trimming of the trees, possibly replacing plants and bushes, upcoming events reserved at the pavilion and that as of Dec 31<sup>st</sup> Digis will be shut off and more info will come on replacing Digis with Comcast. We need to have a list of all owners in the complex and keep it updated with the name of the renters etc. Gate item—some bids we received previously are now out of business, however Brad does have other bids from other businesses. Brad is awaiting drawings to take to the city for approval from Draper City and will ask about the Permit Fee. The board felt that LaDonna should be invited to the next meeting so that the entire board can meet her and put a face to her name.</p>

<p><strong style="font-weight: bold;">1. </strong><strong style="font-weight: bold;">Mark Simpson- Utah Lawn</strong></p>
<p>Mark reported on the status of the landscape in our community. We will be installing rain sensors which will shut off the sprinkler system when it rains. We will be replacing some trees and shrubs. Mark will also be submit bids on other landscape repairs. NOTE: Because of the size of our community and the number of sprinkler sections required, some yard watering will occur during the daylight hours.</p>
<p><strong style="font-weight: bold;">2. </strong><strong style="font-weight: bold;">Limit of Liability for L &amp; T workmanship issues</strong> was discussed by the Board. This issue will be revisited at a future Board meeting.</p>
<p><strong style="font-weight: bold;">3. </strong><strong style="font-weight: bold;">Review of job descriptions for Board Members:</strong></p>
<p>Bob proposed new job descriptions for each Board Member, plus the Board Members At-Large. All Board Members will be assigned “blocks” to represent. This plan will replace the previous “block representative” format.</p>
<p><strong style="font-weight: bold;">4. </strong><strong style="font-weight: bold;">Election of Board Officers</strong></p>
<p>Board Members resigned their positions and new elections within the Board were held. The results are:</p>
<p>President: Bob Kelley</p>
<p>Vice-President: Shon Allen</p>
<p>Treasurer: Brad Shepherd</p>
<p>Secretary: Angel Moran</p>
<p>Board Member At-Large #1, Community Involvement/Parking: Mercedes Pappas</p>

<p><strong style="font-weight: bold;">5. </strong><strong style="font-weight: bold;">New Board voted to assign two other non-voting Board Members</strong> to assist the Secretary and Treasurer. Invitations will be extended to these individuals in the coming months.</p>
<p><strong style="font-weight: bold;">6. </strong><strong style="font-weight: bold;">Board voted to enlist services of new law offices: Fabian and Clendenin</strong></p>
<p><strong style="font-weight: bold;">7. </strong><strong style="font-weight: bold;">Basement flooding</strong>: Board will discuss issue with landscaper and attorney, and determine what action will be taken at a later date.</p>
<p><strong style="font-weight: bold;">8. </strong><strong style="font-weight: bold;">Weeds in yards</strong></p>
<p>Residents are responsible for clearing the four-foot strip around their unit and the window</p>
<p>well. Residents/owners will receive a warning letter to comply. If weeds are not cleared,</p>
<p>Utah Lawn will be contracted and owner will be billed.</p>
<p><strong style="font-weight: bold;">9. </strong><strong style="font-weight: bold;">Christmas lights and ice melt</strong></p>
<p>Next newsletter will include reminder to remove Christmas lights, ice melt and shovels.</p>
<p><strong style="font-weight: bold;">10. </strong><strong style="font-weight: bold;">Damaged garage doors</strong> are the responsibility of the owner and must be repaired in a timely manner. Fence damage will be repaired by Utah Lawn.</p>
<p><strong style="font-weight: bold;">11. </strong><strong style="font-weight: bold;">Striping</strong></p>
<p>Weather should permit striping completion next week.</p>
<p><strong style="font-weight: bold;">12. </strong><strong style="font-weight: bold;">Internet Update</strong> (Brad)</p>
<p>Brad is negotiating with Digis for early termination of contract. Comcast ready to install in 2</p>
<p>weeks if notified.</p>

<p align="center"><strong>January 2011</strong></p>
<p>The Wyngate HOA Board of Trustees wishes each and every one of you a  peaceful and prosperous 2011.  As we look to the year ahead, we would  like your input on issues that face the community.  The HOA Board is  committed to making a concerted effort to gain support and participation  of the Wyngate Commons Community.   To address this effort, we will be  stepping up our efforts to enforce the Rules and Regulations which  govern and protect the beauty and safety of our community.  Some of our  residents have complained that we developed the R &amp; R’s but do not  enforce them.  We will be targeting Parking Violations and Garbage Can  Violations in the weeks to come.</p>
<p>Other issues:</p>
<p><span style="text-decoration: underline;">Security Gate</span></p>
<p>If you have not returned the survey that was mailed to all unit  owners before Christmas, please do so.  At the present time, the  majority of responders favor installing a security gate.  This decision  affects all of us on financial, safety and convenience levels.  Please  make sure your opinion is heard by completing the survey.  Out of 80  units, we have received only 37 surveys!</p>
<p><span style="text-decoration: underline;">Cable/Internet</span></p>
<p>Cable and internet services are included in your HOA fees.  Cable is  provided by Comcast.  Internet is provided by Digis.  These contracts  were entered into by the builder before Wyngate Commons organized an  HOA.  By bundling services and entering in contracts with companies, the  HOA has been able to offer these services at a greatly reduced rate.   As we approach contract expiration, we need your input on satisfaction.   If you are a unit owner, please make sure you have voiced your opinion,  by completing and returning the previously mentioned survey sent to you  in December.  If you did not receive or have misplaced your survey,  please complete a request for another one on a submission form on the  wyngatecommons.com website.</p>
<p><span style="text-decoration: underline;">Parking</span></p>
<p>Please make sure your new neighbors, your new roommates, your new  tenants,  your visitors, etc,  know the parking rules in our community.   A more complete list of the Parking Rules is posted on the  Wyngatecommons.com website.  Following are the highlights:</p>
<p>***Cars parked in the street between 12AM and 6AM are subject to random drive-thru towing by Speedy Towing.</p>
<p>***Cars parked in driveways are subject to towing at ANY TIME.   Because of the design of our cul-de-sacs, there is no room for cars in  the driveways.</p>
<p>***Residents cars parked in guest parking will be subject to  towing..  License plates are logged daily throughout the community and  violators will be towed.  We have limited parking for GUESTS, so please  do not use these spots.</p>
<p>***Parking is <strong>not</strong> allowed in the LEASED PARKING AREA  unless you have a lease!  These are the first 8 parking stalls on the  west end of the complex.  Although they are marked, make sure your  guests DO NOT park there.  Cars in leased parking without permits will  be towed.</p>
<p>***If you have a special short-term need for additional parking,  submit your request via the wyngatecommons.com website.  Complete a  submission form stating the color, make, model, license plate of car,  and length of requirement for special parking arrangement.</p>
<p>***If you have two cars in your garage and are in need of a third  spot, there are parking spots for lease ($50/mo) first 8 stalls at the  west end of the complex.  See website for a complete list of  qualifications for obtaining leased parking permits.</p>
<p><span style="text-decoration: underline;">Garbage/Recycling Cans</span></p>
<p>Garbage/recycling cans are to be removed from the street within 24 hours and stored <strong><span style="text-decoration: underline;">inside</span></strong><span style="text-decoration: underline;"> the garage</span>.   We have had an increased problem with garbage and recycling cans being  left in the street over 24, even 48 hours after pick-up. Violators will  receive a warning.  Subsequent violations will result in a $50 fine.   Cans left at the curb cause parking, snow removal, and safety problems  for our community.</p>
<p><span style="text-decoration: underline;">Pet Waste</span></p>
<p>Pet waste should be removed from “commons” as well as “limited  commons” areas.  “Limited Commons” areas include backyards.  Violators  will be subject to a $50 fine for first offense, $100 fine for  subsequent offense.</p>

<p>Brad will take over parking patrol.  Residents cars parked in Guest parking will receive one warning before being towed.</p>

<p>Brad reported that the situation was better this month.  However,  garbage cans/recycling cans left out later than Friday after pick-up  will be subject to $50 fine.</p>
<p>5.       <span style="text-decoration: underline;">Landscaping update (Shon)</span></p>
<p>Mowing and fertilizing of lawns has begun.  Mowing will occur on  Thursdays.  Resident’s backyards must be clear of pet waste and other  obstructions.  Will remind community about this in April newsletter.</p>
<p>6.       <span style="text-decoration: underline;">Concrete/striping/painting update (Bob)/Shon)</span></p>
<p>Concrete/striping and painting will begin as weather improves.   Estimates for preserving concrete driveways will be investigated.   Approximate cost:  $1,000 per driveway.  May require increase in HOA  fees or one-time assessment fee.</p>
<p>7.       <span style="text-decoration: underline;">Comcast follow-up (Angel/Brad)</span></p>
<p>Brad and Angel will follow-up on getting a great deal from Comcast to bundle internet and cable.</p>
<p>8.       <span style="text-decoration: underline;">Electrical Box issue at 670 Wyngate</span></p>
<p>Has been resolved.</p>
<p>9.       <span style="text-decoration: underline;">Survey Results update (short version)Susie</span></p>
<p>Survey indicated three major opinions:  Majority who responded are in  favor of a security gate, are in favor of dropping Digis as internet  provider, would like HOA to continue to provide internet to all  residents to save money.</p>
<p>10.   <span style="text-decoration: underline;">Sister Community (Wyngate Townhomes)Susie</span></p>
<p>Our sister community, Wyngate Townhomes in South Jordan is  experiencing similar difficult issues (ie. Parking, HOA fee collection,  damage to community property)</p>
<p>11.   <span style="text-decoration: underline;">CC&amp;R draft updates (Bob/Shon)</span></p>
<p>Bob and Shon suggested changes to our current CC&amp;Rs to present at Annual May meeting, May 17<sup>th</sup>.   Changes include, but are not limited to:  1) establishing a % limit for  rented/leased units.  Most communities limit to 20%.  We are at 30%  right now. 2) Require documentation from seller that renters know the  rules and regulations of the community and that owners are ultimately  responsible for damage or non-compliance with rules by renters.</p>

1. Review of minutes from last meeting.
*Approved.
2.   Vinyl Industries fence repair bill.
*Shon will get estimates for repairing the fence on Normandy Loop and the gate on the West side of the park.

<p><strong>1. </strong><strong>Review of minutes from last meeting.</strong></p>
<p><strong>*Approved.</strong></p>
<p><strong>2.   Vinyl Industries fence repair bill.</strong></p>
<p><strong>*Shon will get estimates for repairing the fence on Normandy Loop and the gate on the West side of the park.</strong></p>
<p><strong>3. </strong><strong>Internet issues:  routers, individual resident bills</strong></p>
<p><strong>*Wireless routers are not provided by the HOA or Digis.  Wireless routers are the sole responsibility of the owner/tenant.  No residents should be billed individually by Digis.</strong></p>
<p><strong>4.  Trash can tracking report  (Brad/Bob)</strong></p>
<p><strong>*No trash cans were left out over 48 hours last week.  Brad will continue to monitor.  Can situation has improved, perhaps in response to the newsletter reminder.</strong></p>
<p><strong>5. </strong><strong>Parking violation update  (Bob, Mercedes)</strong></p>
<p><strong>*Speedy towed two vehicles this month.  Parking situation has improved, perhaps due to newsletter reminder.</strong></p>
<p><strong>6. </strong><strong>Comcast question from resident.</strong></p>
<p><strong>*Comcast does not release information to individual residents about the amount paid by the HOA for basic cable access.  That amount according to our Treasurer is $27.20.  If the tenant/owner adds on services (HD/movie channels/DVR) there is no guarantee about the amount charged by Comcast.  That is not within the HOA’s control.</strong></p>
<p><strong>7. </strong><strong>Termination letter draft for 5-Star Bookkeeping  (Shon, Bob)</strong></p>
<p><strong>*Due to personal difficulties, Bob has found it necessary to withdraw his offer to act as the HOA’s bookkeeper at this time.</strong></p>
<p><strong>8. </strong><strong>Survey results   (Susie)</strong></p>
<p><strong>*Susie has tabulated the results of the surveys that have been submitted so far (43).  Owners not returning surveys will be contacted this month.  The final results will be presented in the April Newsletter.</strong></p>
<p><strong>9. </strong><strong>Crumbling driveways</strong></p>
<p><strong>*It was noted that driveways around the community have been crumbling.  The HOA will look into</strong></p>
<p><strong>the cost of repairing and sealing the cement in the spring when the backdoor painting resumes.  This will save the cost of more complicated repairs in the future.</strong></p>
<p><strong>10. </strong><strong>Dead Christmas tree on Wyngate Pointe</strong></p>
<p><strong>*Resident will receive warning and 24 hours to take care of removal.  After 24 hours, HOA will have it removed and resident will be billed.</strong></p>
<p><strong>11.   Annual Meeting set for May 17<sup>th</sup> at 7:00 in the Pavilion.  Refreshments will be served (crackers, cheese, drinks- Mercedes).  Two new Board Members will be elected.  One Board Member’s term will expire and a new Board Member will be elected.  Results of Survey will be discussed.  Treasurer will give a financial report.  Voting on Gate will take place.</strong></p>
<p><strong>12.  Next Board Meeting:  March 1<sup>st</sup>, 6:30 at Shon Allen’s.</strong></p>
<p><strong>13.  Adjourned at 8:45 PM</strong></p>

<p><strong>Action Plan:</strong></p>
<p><strong>1. </strong><strong>Shon will get Vinyl Fence estimates.</strong></p>
<p><strong>2. </strong><strong>Susie will contact owners who have not completed surveys.</strong></p>
<p><strong>3. </strong><strong>All Board Members will review CC&amp;R’s and come to the next meeting prepared to discuss and revise.</strong></p>
<p><strong>4. </strong><strong>Susie will update website for Board Members and delete Block Reps.</strong></p>
<p><strong>5. </strong><strong>Brad will contact owner of dead Christmas tree (on Wyngate Pointe) and leaking Audi  on Normandy Loop.</strong></p>
